Vidfin accepts no responsibility for the said Content / Images. However, you understand that all Content / Images posted by you becomes the property of Vidfin and you agree to grant/assign to Vidfin and its affiliates, a non-exclusive, royalty free, perpetual, irrevocable and sub-license able right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content / Images (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed throughout the world.
Registration
The act of registering on the Website or App grants the User a specially restricted level of access to the Website, its content, and services, which is exclusively intended for the use of a single user. Any Content uploaded by you shall be subject to relevant laws. Furthermore, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Site, we may terminate your account/block your access to the Site and we reserve the right to remove any non-compliant Content uploaded by you.
Grievance Redressal

If your concern is not resolved, you can raise a ticket at SEBI Scores Portal (https://scores.gov.in/scores/Welcome.html). In case you concern is not resolved on any of the above forums, you can raise a ticket at SEBI’s Smart ODR Portal (https://smartodr.in/login).
Limitations of Liabilities
Vidfin shall not be held liable for any damages whatsoever, including, but not limited to any direct, incidental, consequential, special, exemplary or other indirect damages arising out of (i) the use of or inability to use the website or the Content, (ii) Any transactions conducted through or facilitated by the site, (iii) Any claim attributable to errors, omissions, or other inaccuracies in the site, and/or the Content, (iv) unauthorized access to or alteration of your transmissions or data, technical malfunction of on-line-systems, servers or providers, computer equipment, software, failure of e-mail on account of technical problem or traffic congestion on the Internet, including injury or damage to any customer or to any other person’s computer related to or resulting from participating or downloading materials/ information from the website or (v) any other matter relating to the website or the Content. If you are dissatisfied with the website, the Content or with these Terms and Conditions, your sole and exclusive remedy is to discontinue using the site.
Termination of Account
Vidfin reserves its right to refuse service, restrict, suspend, terminate your account (Terminate this Agreement; Terminate or suspend your access to the Site; Refuse, move or remove for any reason any Content / Image that you submit on or through the Services; Refuse, move, or remove any Content / Image that is available on or through the Services; Deactivate or delete your accounts and all related information and files in your account; Establish general practices and limits concerning use of the Services) at any time and, remove or edit contents or cancel orders (entered by you) in its sole discretion with or without cause, and with or without any prior notice for any violation of the Terms of Use. Upon such termination or suspension, your right to use the Site will immediately cease.
You can also terminate your account at any time but your information may remain stored in archive on our servers even after the deletion or the termination of your account.
User Conduct and Obligations
You hereby agree and assure Vidfin that the Site/Services shall be used for lawful purposes only and that you will not violate laws, regulations, ordinances or other such requirements of any applicable Central, State or local government or any other international laws. 8. Take any action which encourages or consists of any threat of harm of any kind to any person or property;
9. Carry out any “denial of service” (DoS, DDoS) or any other harmful attacks on application or internet service or;
10. Make any inappropriate, illegal or otherwise prohibited communication to any Newsgroup, Mailing List, Chat Facility, or other Internet Forum;
11. Use the Site/Service for illegal purposes;
12. Disrupt, place unreasonable burdens or excessive loads on, interfere with or attempt to make or attempt any unauthorized access to website or the website of any Vidfin customer/ user;
13. Transmit through the Site, any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, hateful, or racially, ethnically or otherwise objectionable material of any kind or nature. This includes text, graphics, video, programs or audio, etc.;
14. Collect or attempt to collect personally identifiable information of any person or entity without their express written consent and you shall maintain records of any such written consent throughout the terms of this agreement and for a period of 2 years thereafter;
15. Engage in antisocial, disruptive, or destructive acts, including “flaming,” “spamming,” “flooding,” “trolling,” and “griefing” as those terms are commonly understood and used on the Internet
16. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Site.
17. Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” duplicative messages or any other form of solicitation.
18. Encumber or suffer to exist any lien or security interest on the subject matter of this Agreement; or
19. Make any representation or warranty on behalf of Vidfin.
You agree not to post, distribute, transmit or otherwise make available any data, text, message, computer file, or other material that infringes and/or violates any right of a third party or any domestic or international law, rule, or regulation, including but not limited to:
1. Infringement of any copyright, trademark, patent, trade secret, or other proprietary rights of any third party, including, but not limited to, the unauthorized copying of copyrighted material, the digitization and distribution of photographs from magazines, books, or other copyrighted sources, and the unauthorized transmittal of copyrighted software;
2. Right of privacy (specifically, you must not distribute another person’s personal information of any kind without their express permission) or publicity;
3. Any confidentiality obligation.
Unless otherwise permitted, you will: (i) display the Service on your Site in the exact form received by you, and not modify or edit any of the foregoing without Vidfin’s prior written consent; (ii) ensure that the fundamental meaning of the Service is not changed or distorted; (iii) comply with all applicable laws and all limitations and restrictions (if any) placed by Vidfin on the use, display or distribution of any Service and (iv) not archive any of the Service for access by users at any future date after the Service has been removed from your Web site. Indemnification

No Class Action

Severability and Assignment
If any terms contained in this agreement shall be held invalid or unenforceable, in whole or in part, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the validity and enforceability of all other terms herein shall not be affected thereby.
Relationship
None of the provisions of the User Agreement shall be deemed to constitute a partnership or agency between you and Vidfin and you shall have no authority to bind Vidfin in any manner, whatsoever.
Force Majeure
Vidfin shall have no liability to you for any interruption or delay, to access the Site irrespective of the cause.
Indian Law
The Agreement shall be governed by the Laws of India. The Courts of law at Delhi/New Delhi shall have exclusive jurisdiction over any disputes arising under this agreement.
Entire Agreement
These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
Limited time to bring your claim
You and Vidfin agree that any cause of action arising out of or related to the web sites, only, must commence within one (1) year after the cause of action accrues otherwise, such cause of action will be permanently barred.
Acceptance of Terms and Privacy Policy
By using Vidfin and its services, you signify your acceptance of these Terms and our Privacy Policy statement. If you do not agree or are not comfortable with any term or policy, your only remedy is to discontinue use of site. We reserve the right, to modify these Terms and Privacy Policy at any time.
General Terms

ADDITIONAL DISCLAIMERS & DISCLOSURE ON VIDFIN PRODUCTS
Trials
Periodically, we or designated representatives may, at our discretion, extend invitations to participate in trials of our Vidfin Premium Membership, which offer access to premium features and services for a specified duration, either free of charge or at a reduced rate (referred to as a "Trial"). Vidfin retains the unequivocal right to assess your eligibility for a Trial and, contingent upon applicable legislation, to withdraw or amend a Trial at any time, without prior notice and without incurring any liability, to the fullest extent permissible under the law.
For certain Trials, it may be necessary for you to furnish your payment information to initiate the Trial. Upon the conclusion of such Trials, we may, unless otherwise specified, automatically commence charging you for the relevant paid subscription, starting on the first day immediately following the Trial's expiration, on a recurring monthly or annual basis, as applicable. Upon provision of your Payment Method, we will endeavor to confirm the accuracy of the information you have supplied by executing an authorization hold. It is important to note that you will not be billed in connection with this authorization hold; however, it may temporarily reduce your available balance or credit limit. By supplying your payment details in conjunction with the Trial, you expressly consent to the imposition of charges utilizing said payment information. If you wish to avoid incurring these charges, it is imperative that you cancel the pertinent paid subscription prior to the designated billing date.
Premium Membership
You may participate in our Vidfin Premium Membership by subscribing to monthly or annual membership fees, which entitle you to unlimited access to Premium services. These Premium services encompass courses and offerings provided at Vidfin's sole discretion as integral components of the Premium Membership program.
Recurring Billing
The membership fee will be charged at the beginning of your paid membership and then on a monthly or annual basis thereafter until you decide to cancel your membership. We will automatically bill your chosen payment method on the same day each month as when you first started your paid membership. If there is an issue with your payment method, we may change the billing date. If you initiated your Premium Membership or became a paying member on a date that does not exist in a particular month, we may charge your payment method on a day in the same month or on another suitable day. For example, if you started on March 31st, your next payment date would likely be April 30th, and we would bill your payment method on that date.
Cancellations and Refunds
You have the right to terminate your Vidfin Premium Membership at your discretion, without the need to provide any specific reason. Upon cancellation, access to all Premium features associated with your Vidfin Membership will cease at the end of the current billing cycle. If you later decide to reinstate your status as a paying member, your billing date will be reset to the day of your renewed payment.
Please note that payments made for the membership are non-refundable, and no reimbursements or credits will be provided for partially used time periods. However, after your cancellation, you will continue to enjoy the benefits of your Vidfin Membership until the end of your current billing cycle.
Price Changes
We reserve the right, without any time restrictions, to modify the fees or charges associated with the utilization of any services furnished through the Service (or to initiate fees for any previously free service). However, it is important to note that any such alterations will not be applicable to fees or charges incurred or free services availed of prior to the implementation of the modification. Additionally, any adjustments to the pricing structure of your service shall be implemented after providing advance notice to you.
